MANAGEMENT TEAM
Describe the functions that must be filled.
If you are the company then you must fill all functions.
Some areas can be covered by consultants or people you know who are qualified.
You must budget for this outside help.
The team, regardless of size, must be willing to accept modest salaries in the beginning.
Organization
Describe key management roles and executive positions. If they're not all filled, describe how the position (function) will be covered. If people will come on board later, describe how this will be accomplished. With a family each member must have a role or position defined. This will avoid confusion later.
Key Management Personnel
Key management positions must be described in detail. If you are the only one, then your background and experience must be related to the position description. Weaknesses should be defined and how they will be compensated must be described. If a family or small group is involved this must be done for each person.
Management Compensation and Ownership
State salaries for any members or for the individual (you). As stated earlier, you should pay yourself a token salary to ensure reasonable economics.
Other Investors
Other investors must be described. Their shares or amount of loan etc., should be documented. The monthly payments should also be described.
Employment, Other Agreements, Stock Option and Bonus Plans
These areas should be covered with a consultant. Pamphlets and other available government information should be reviewed to ensure compliance to local, state/provincial and federal laws.
Board of Directors
Name your board of directors and include 1 or 2 sentences about their background and what they bring to the position. Review local, state/provincial and federal laws regarding responsibility of board members. Make sure all potential board members are aware of their responsibilities.
Other Shareholders, Rights and Restrictions
Note any other shareholders or obligations other than those shown above. If there are no others, state "There are no others."
Supporting Professional Advisors and Services
This is covered in several sections, but it is nice to summarize it here. Show supporting services and indicate names and areas of expertise. Cover the following: legal, accounting, consulting, advertising, banking or other financial services.
